Terms and Conditions

1. Introduction

Welcome to Repitio. These Terms and Conditions ("Terms") govern your use of our website, platform, APIs, Study Room features, OAuth app-linking flows, and Model Context Protocol (MCP) integrations. By accessing or using Repitio, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Definitions

"Service" refers to the Repitio website, platform, APIs, Study Room features, content, services, and products available at or through repitio.io.
"User" refers to the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
"Company" (referred to as either "the Company", "we", "us" or "our" in these Terms) refers to TekCloud Ltd., the owner of Repitio®.
"Connected App" refers to a third-party or first-party client, including an AI client, developer tool, or MCP-compatible client, that you authorize to access Repitio through OAuth, an access token, or another approved integration method.
"Author" refers to a User or organization that submits a product for review or offers an approved product through the Repitio marketplace.
"Product" refers to a test bank, course, or other digital learning product offered through the Service.

3. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of these Terms and may result in suspension or termination of your account.

You are responsible for safeguarding the password, session, access token, or other credential that you use to access the Service. You are responsible for activities under your account and for promptly revoking any Connected App or token that you no longer trust or control.

Your account and purchased access are personal to you unless an organization plan expressly permits multiple named users. You may not share credentials, resell access, or allow another person to use your account. We may use proportionate usage and security monitoring to detect suspected credential sharing, fraud, or abuse and may require verification, restrict sessions, or suspend access when reasonably necessary to protect the Service and its users.

4. Educational Content and Study Materials

Repitio provides educational content, Study Room tools, question banks, practice materials, and related features for general educational and study purposes only. Repitio does not guarantee that any study material is complete, current, error-free, or sufficient for passing any exam, certification, course, or assessment.

You are responsible for reviewing study materials, imported question bundles, explanations, and answers before relying on them. Content created by you or by a Connected App may be incomplete, inaccurate, or unsuitable for your intended purpose.

5. AI Clients, OAuth, MCP, and Connected Apps

Repitio may allow you to connect external AI clients and developer tools, including MCP-compatible clients. By approving a connection, you authorize the Connected App to access Repitio within the scopes and permissions shown during authorization or associated with the access token you provide.

Connected Apps may list permitted Study Room metadata, validate question bundles, create or select Study Room subjects where authorized, and import question bundles after you approve the workflow. You should approve only apps you trust and only imports that you have reviewed. You can revoke Connected App access from Repitio settings where available.

Third-party AI clients and platforms are governed by their own terms and privacy policies. Repitio is not responsible for third-party services, prompts, outputs, models, availability, or data practices outside Repitio's control.

6. User Content and Imported Question Bundles

You retain responsibility for content that you submit, import, or approve for import into Repitio, including question bundles, prompts, answers, explanations, source labels, reference URLs, and other study materials. You represent that you have the necessary rights and permissions to submit or import that content and to use it with Repitio.

You grant TekCloud Ltd. a limited license to host, process, validate, display, organize, and use your submitted or imported content solely as needed to provide, secure, support, and improve the Service, subject to our Privacy Policy. If you publish a Product, this license also permits us to market, distribute, and continue hosting the purchased edition for existing buyers after you stop offering it for new sales, unless removal is legally required.

Do not submit or import content that contains payment card information, government identifiers, passwords, API keys, MFA or OTP codes, protected health information, or other sensitive information unless Repitio expressly supports that use case and you have all legally required rights and consents.

7. Purchases, Subscriptions, and Refunds

Repitio offers test banks, Study Room features, Connected App integrations, import tools, and other study resources that may be available for one-time purchase, subscription, trial, beta access, or another paid or unpaid access model. Each purchase or subscription grants you a limited, non-transferable right to access the specific content or features described at checkout, on the relevant details page, or in your account.

7.1 Access Period

A one-time Product purchase grants you a limited, personal, non-transferable license to access the purchased edition for as long as Repitio continues to operate and can lawfully provide that edition. This is commonly described as lifetime access; it is not ownership of the Product or a promise that the Service or any particular feature will operate forever.

Access remains subject to these Terms, account standing, refunds, security restrictions, and removal required by law or a valid rights claim. An Author may stop new sales but may not revoke access already purchased. We may provide a replacement, credit, refund, or other reasonable remedy if an edition must be removed and continued access is not reasonably possible.

7.2 Subscriptions and Subscriber Features

Certain features, including Study Room features, content import workflows, API access, OAuth app-linking, MCP integrations, storage capacity, usage limits, organization features, or Connected App access, may require an active paid subscription or may be subject to plan-specific limits. We may also make some of these features available through free trials, beta programs, promotional access, or limited testing access.

Subscription fees, billing intervals, included features, usage limits, and renewal terms will be shown before purchase or in your account where applicable. Unless stated otherwise at checkout, subscriptions renew automatically until cancelled. You authorize us and our payment processor to charge the payment method on file for recurring subscription fees, applicable taxes, and any other charges you approve.

You may cancel a subscription through your account settings where available or by contacting us. Cancellation stops future renewal charges but does not automatically refund amounts already paid, except where required by law or expressly stated in these Terms or the applicable checkout terms. If a subscription expires, is cancelled, or cannot be renewed because payment fails, we may suspend, downgrade, or limit subscriber-only features, including Study Room import capacity, Connected App access, and MCP/API usage.

7.3 Payment Processing

All payments are securely processed by Stripe or another payment processor we identify. Payment processors handle payment transactions and store payment information on our behalf. For payment-related inquiries, please contact us at support@repitio.io.

7.4 Refund Policy

Unless different terms are shown before purchase, we offer a full refund when it is requested within 30 days after purchase and no more than 25% of the Product has been consumed. Both limits are inclusive. Refunds are not automatically available after either limit is exceeded, except where required by law.

For a test bank, consumption is based on the percentage of unique questions attempted after purchase against the question count recorded for the purchased edition. For courses and mixed Products, the applicable progress method will be disclosed before purchase. The system may track and display consumption so you can monitor your usage and refund eligibility. The policy values and content denominator effective when you purchase are retained for that purchase.

7.5 Marketplace Authors

Authors must complete the review, identity, payment, tax, and other onboarding steps we or our payment processor require before publishing a paid Product. Approval or publication is not an endorsement, and we may reject, suspend, or remove a Product for quality, rights, safety, legal, fraud, or policy reasons. Authors remain responsible for the accuracy, legality, and rights to their Product and for maintaining accurate public and payment information.

For each paid marketplace sale, taxes are excluded first and shared transaction-level payment-processing, purchase-currency conversion, and cross-border transfer fees attributable to the sale are deducted from the Product subtotal. Repitio receives 10% of the remaining distributable proceeds and the Author receives 90%. Fees caused by the Author's bank payout method or payout-currency conversion are borne by the Author. The Author Center will show the available transaction details and adjustments.

We may hold Author earnings through the applicable refund period. Refunds issued before release cancel the related unreleased earnings. If a refund, dispute, chargeback, reversal, fee, fine, or other loss occurs after release, we may reverse a transfer or recover the Author's attributable amount from future earnings or other amounts payable, unless we elect to absorb that loss. Stripe or another identified provider stores and verifies the Author's bank, identity, and payment details and controls the timing of bank payouts after funds reach the Author's connected account.

7.6 Third-Party AI Client Commerce

Purchases, subscriptions, refunds, and paid access are managed through Repitio's own website or approved payment flows. Unless we expressly state otherwise, third-party AI client conversations and MCP tool calls are not a checkout flow for purchasing digital products or services.

8. Intellectual Property

The Service and its original content, features, functionality, design, and software are and will remain the exclusive property of TekCloud Ltd. and its licensors. Repitio® is a registered trademark of TekCloud Ltd. The Service is protected by copyright, trademark, and other laws.

Nothing in these Terms grants you the right to use Repitio trademarks, branding, or proprietary materials except as necessary to use the Service as intended.

9. Data Handling and Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and user content, including information processed through Connected Apps, OAuth, APIs, and MCP tools. By using the Service, you agree to the data practices described in our Privacy Policy.

Imported study content and question bundles are processed to provide the requested Study Room functionality. Content imported through Connected Apps is retained as part of your Study Room content unless you delete it or your account is deleted, subject to backup, legal, and operational retention needs described in the Privacy Policy.

10. Third-Party Services and No Endorsement

The Service may interoperate with third-party services, including authentication providers, payment processors, hosting providers, AI clients, and MCP-compatible tools. We are not responsible for third-party services or for content, actions, or omissions outside Repitio's control.

Repitio is not created by, endorsed by, sponsored by, or affiliated with any third-party AI platform unless expressly stated in writing.

11. Acceptable Use

You may not use the Service to violate laws, infringe intellectual property rights, compromise security, abuse rate limits, interfere with the Service, submit malware, attempt unauthorized access, or import content that you do not have the right to use. We may suspend or terminate access for violations of these Terms or misuse of the Service.

12. Termination

We may terminate or suspend your account or access to the Service immediately, without prior notice or liability, if you breach these Terms, create risk for Repitio or other users, or use the Service in a way that may cause legal, security, or operational harm.

13. Limitation of Liability

To the fullest extent permitted by law, TekCloud Ltd., its directors, employees, partners, agents, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses arising from or related to your use of the Service.

14. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide reasonable notice before the new terms take effect. Continued use of the Service after changes become effective means you agree to the revised Terms.
